Confidentiality And Non-Disclosure Agreement

In order to protect the confidential information that you disclose to Perennial Fund Services, LLC (“Perennial”), we agree that:

1. Perennial shall use the confidential information received in this Questionnaire for the purpose of generating a fee proposal for our services.
2. Perennial shall protect the disclosed confidential information by using the same degree of care, but no less than a reasonable degree of care, to prevent the unauthorized use, dissemination, or publication of the confidential information as Perennial uses to protect its own confidential information of a like nature.
3. Perennial has no obligation with respect to disclosed confidential information that becomes a matter of public knowledge through no fault of Perennial.
4. Perennial does not acquire intellectual property rights with respect to disclosed confidential information under this Agreement except the limited right of use set out in paragraph 1 above.
5. Upon your written request, Perennial will destroy all confidential information included in the Questionnaire and Perennial shall deliver to you a written statement  signed by Perennial certifying same within 5 days.
